Terms of Sale — Decidr Platform

These Terms of Sale govern the purchase of a Bronze licence to the Decidr decision-making platform (the "Platform") from Culture Gem Ltd ("Culture Gem", "we", "us"). They apply alongside our Privacy Policy. By starting a free trial, completing a purchase or accepting an invoice, you agree to these terms on behalf of the organisation you represent (the "Customer").
1. The licence
- Term: A Bronze licence is a fixed twelve (12) month subscription to the Platform, beginning on the date of activation.
- Scope: One organisation. Unlimited facilitators, participants and sessions for that organisation throughout the licence term.
- Fee: £3,600 + VAT, payable as a single one-off payment up front.
- What's included: The 27 ready-built scenarios, the build-your-own scenario wizard, facilitator console, debrief packs (PDF / DOCX / PowerPoint / CSV), auto-generated runbooks and any updates released to Bronze customers during the term.
2. Payment options
- Buy now: Pay by card via the Platform checkout. Access is activated immediately on successful payment.
- By invoice: Request an invoice from us. Standard payment terms are 30 days from invoice date. Access is activated on receipt of cleared funds, or earlier at our discretion against an approved purchase order.
- VAT: All prices are exclusive of VAT, which will be charged at the prevailing UK rate where applicable.
3. Free trial
- A free trial of three (3) days is available to new Customers at decidr.live/try.
- No payment card is required to start the trial. The trial automatically ends at the end of the three-day period and does not convert into a paid licence unless you purchase one.
- Trial accounts may have feature, scenario or export limits that differ from a paid Bronze licence.
4. No early cancellation, no pro-rata refunds
The Bronze licence is a committed twelve-month term and is paid as a single non-refundable fee. The Customer cannot cancel the licence early, downgrade the term, or claim a partial or pro-rata refund for unused time, unused sessions or unused features. The licence simply expires at the end of the twelve-month term unless renewed.
Nothing in this clause limits the Customer's statutory rights, or the remedies available to the Customer if Culture Gem materially breaches these terms and fails to remedy that breach within a reasonable period after written notice.
5. Renewal
Licences do not auto-renew. Towards the end of the term we will contact the Customer with renewal options. If no renewal is agreed, access to the Platform ends on the licence expiry date.
6. Add-ons and bespoke engagements
Silver, Gold and other facilitated or bespoke engagements are sold separately under their own statement of work or order form, with their own commercial terms. The Bronze licence is not a prerequisite for, and does not include, those engagements.
7. Acceptable use
The Customer agrees to use the Platform only for its own internal training, exercising, decision-rehearsal and incident-response preparation purposes. The Customer must not resell, white-label or sublicense access to the Platform without a separate written agreement with Culture Gem. Reseller and partner arrangements are available on request.
8. Data and privacy
Personal data submitted through the Platform is processed in line with our Privacy Policy and the Platform's own privacy notice published at decidr.live. Customers are responsible for the lawful basis on which they invite participants into sessions and for the content of any bespoke scenarios they create.
9. Liability
To the maximum extent permitted by law, Culture Gem's total aggregate liability arising out of or in connection with the Bronze licence is limited to the fees paid by the Customer for that licence in the twelve months preceding the event giving rise to the claim. Neither party is liable for indirect or consequential loss, loss of profits, loss of business or loss of anticipated savings.
10. Governing law
These Terms of Sale are governed by the laws of England and Wales and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
