eLearning Terms and Conditions

This Agreement describes the terms for members or customers of Culture Gem who obtain E-Learning Courses through https://learn.culturegem.co.uk/ or use the site.

Definitions

In this document, “E-Learning Course” or “Content” is the training product you obtain from learn.culturegem.co.uk.

“You” and “The Customer” refers to the Customer or client who purchases the eLearning Courses.

“We”, “Us”, and the “Author” refers to Culture Gem.

General

Culture Gem reserves the right to change the content used at any time.
Customers who fail to complete the e-learning modules in the time available will not be eligible for a refund.
Customers will receive an electronic notification before the license end date.
All rights not expressly granted herein are reserved.
These Terms and Conditions shall be governed by and construed following the laws of England, Wales, Ireland and Northern Ireland.
If you do not agree with these Terms and Conditions you must cease access immediately and notify Culture Gem of your intent not to continue.

Agreement

Access to the online materials is through our e-learning site. Please read the following terms carefully before accessing this site or using a module. By accessing the site (which includes visiting, registering, purchasing or accessing a course), you accept and agree to all covenants and conditions imposed in this Agreement. If you do not agree to these terms, you may not access the site.

By using this service, you agree that you have read, understand and agree to these terms. You also agree to review this Agreement periodically to be aware of modifications to the Agreement, which modifications Culture Gem may make at any time. Your continued use of this site will be deemed your conclusive acceptance of any modified agreement.

We hereby grant to you a non-transferable license to use the E-Learning Courses for the Permitted Uses as defined below. Anything outside the Permitted Uses For E-Learning Courses is excluded. These are presented under Exclusions.

All other rights to the ELearning Courses, including, without limitation, all copyright and other intellectual property rights relating to the Content, are retained by Culture Gem and or its suppliers.

This Agreement is effective until it is terminated. You can terminate this Agreement by contacting learn@culturegem.co.uk. The Agreement also terminates with or without notice from Culture Gem if at any time you fail to comply with any of its terms.

Culture Gem reserves the right to elect at a later date to revoke or amend the license granted by this Agreement and replace the Content with an alternative for any reason. Culture Gem may revise this Agreement at any time and at its sole discretion.

Permitted uses for e-learning courses

As a user of E-Learning Courses provided by Culture Gem, you are hereby granted the following rights (“Your Rights”):

Unlimited use of E-Learning Courses for distribution to course participants within your purchased licence count
Unlimited delivery of the course to participants
Unlimited use of the courses within your organisation via the learn.culturegem.co.uk learning management system
To request alteration of Content at no cost to you where an agreed typographical, spelling, grammar error or software ‘bug’ is identified.

Exclusions for e-learning courses

You may not, under any circumstances, resell the product.
You may not distribute the E-Learning Courses, for free or at cost, to others who may resell the E-Learning Courses for commercial advantage.
You may not convert E-Learning Courses directly to other derivatives such as audio playbacks, translations and online e-learning products and resell it as new training material for commercial gain.
Images included in the E-Learning Courses cannot be used outside the context they are provided without explicit permission.
You are not allowed to extract images or reverse engineer the Content and use them elsewhere outside a training environment. For example, you are not allowed to extract images and use them in a book publication.

Resellers and training providers

Unless an explicit arrangement and separate agreement document have been made, resellers or training providers do not have the right to resell or provide our E-Learning Courses to clients in any way. We reserve the right to request deletion of any E-Learning Courses being used in this way.

Use of website content

The useful Content presented on learn.culturegem.co.uk is provided so that you can enhance your training courses or use them for self-learning. No content from the site (text or images) can be republished elsewhere online or in print, as part of a product, for product advertisement, for commercial gain or for free.

No part of Culture Gem publications may be reproduced, stored in a retrieval system, reverse engineered, create derivative works from or in any way exploit the Content or transmitted by any form or by any means, electronic, mechanical, photocopying or otherwise, without the prior permission of the Author (publisher), (copyright owner), other than those stated under “Permitted Uses” for corresponding products.

No responsibility for loss caused to any individual or organisation acting or refraining from action as a result of the material in this publication can be accepted by the Author or by Culture Gem Ltd.

The right of Culture Gem Ltd. to be identified as the owner of this work has been asserted by them in accordance with the Copyright, Designs and Patents Act 1988.

The rights to images or Content are not transferred. The ownership of the E-Learning Courses and any other products remain with Culture Gem. You are licensed to use the product as per conditions set in this document.

Warranty

The Content is provided in accordance with the Agreement provided in this document. While we made a reasonable effort on the accuracy of the Content to correctly present the research carried out in subject domains, Culture Gem does not warrant the accuracy of such information.

Other than as expressly provided above, the Content is provided “as is” without representation, warranty or condition of any kind, either express or implied, including, but not limited to the implied representations, warranties or conditions of merchantability or fitness for a particular purpose.

Culture Gem does not represent or warrant that the Content meets your requirements. The entire risk as to the quality and performance of the Content is with you. However, by request and at no cost to you, we agree to provide alteration of Content where an agreed typographical, spelling, grammar error or software ‘bug’ is identified.

Your indemnification

You agree to indemnify, defend and hold Culture Gem, its affiliates, its Content providers and their respective directors, officers, employees, shareholders, partners and agents (collectively, the “Culture Gem Parties”) harmless from and against any and all claims, liability, losses, damages, costs and expenses (including reasonable legal fees on a solicitor and client basis) incurred by any Culture Gem Party as a result of or in connection with any breach or alleged breach by you or anyone acting on your behalf of any of the terms of this Agreement.

Limitation of liability

In no event shall Culture Gem or any of its affiliates or content providers be liable for any incidental, indirect, punitive, exemplary or consequential damages whatsoever (including damages for loss of profits, interruption, loss of business information or any other pecuniary loss).

E-learning course suitability

The Customer’s responsibility is to refer to the range of e-learning courses provided by Culture Gem prior to purchasing to ensure that the selected courses meet the required criteria. Culture Gem provides professional course material based on comprehensive research, care and skill but accepts no liability in the event that the selected programme is unsuitable for you or your participant requirements.

Acknowledgement

You acknowledge that you have read this Agreement, understand it, and had an opportunity to seek independent legal advice prior to agreeing to it. In consideration of Culture Gem agreeing to provide E-Learning Courses, you agree to be bound by the terms and conditions of this Agreement. You further agree that it is the complete and exclusive statement of the Agreement between you and Culture Gem, which supersedes any proposal or prior agreement, oral or written, and any other communication between you and Culture Gem relating to the subject of this Agreement.
